These Terms of Service (the “Terms”) govern your access to veydrisholdings.com (the “Site”) and any marketing services provided by Veydris Holdings (“Veydris,” “we,” “us” or “our”), located at 215 S Wadsworth Blvd Ste 400, Lakewood, CO 80226, US. By using the Site or engaging us, you agree to these Terms. If you are entering into these Terms for a business, you represent that you have authority to bind that business.
1. Our Services
Veydris is a performance marketing agency. Our services include paid advertising management (such as Meta Ads, Google Ads and Reddit Ads), Newsletter Campaigns, email marketing, lead generation, and related strategy, creative and reporting work (the “Services”).
The specific scope, deliverables, fees and term of each engagement are set out in a written proposal, order form, statement of work or email confirmation signed or accepted by both parties (an “Engagement”). If an Engagement conflicts with these Terms, the Engagement controls for that project.
Information on the Site, including descriptions, “starting at” prices and package contents, is general information and is not a binding offer. Final scope and pricing are confirmed in writing.
2. Free Growth Audit
We may offer a free growth audit or strategy call. The audit is provided for general informational purposes, based on information you share, and is not a guarantee of results. Requesting an audit creates no obligation for either party to enter into an Engagement. We may decline or end an audit at our discretion.
3. Eligibility and Accounts
The Services are intended for businesses and individuals acting in a business capacity who are at least 18 years old. You agree to provide accurate and current information, and to keep any account credentials or access you grant us secure.
Where we work inside your advertising, email or analytics accounts, you retain ownership of those accounts. You are responsible for maintaining your own account in good standing with each platform and for the platform terms that apply to you.
4. Fees, Billing and Taxes
- Retainers and setup fees are billed as stated in your Engagement, typically monthly in advance.
- Newsletter Campaigns are priced per placement or campaign and are billed as stated in the Engagement, generally before the placement is scheduled.
- Advertising spend is separate from our fees. Unless we agree otherwise in writing, you pay ad platforms directly and are responsible for all platform charges.
- Invoices are due within the period stated on the invoice, or within 15 days if none is stated. Late amounts may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by Colorado law, and we may pause Services on overdue accounts after written notice.
- Fees are exclusive of taxes. You are responsible for sales, use or similar taxes that apply to the Services, other than taxes on our net income.
- Fees for work already performed and for placements already scheduled or sent are non-refundable unless the Engagement states otherwise.
5. Term and Termination
Retainer Engagements begin on the start date in the Engagement and, unless stated otherwise, have an initial term of three (3) months, then renew month to month. After the initial term, either party may terminate on thirty (30) days’ written notice (email suffices).
Either party may terminate an Engagement immediately on written notice if the other party materially breaches these Terms or the Engagement and does not cure the breach within ten (10) days of written notice. We may suspend or terminate Services immediately if we reasonably believe your products, content or conduct violate applicable law, platform policies or Section 8.
On termination you will pay all fees accrued through the termination date. Sections that by their nature should survive termination, including payment obligations, intellectual property, disclaimers, limitation of liability, indemnification and governing law, will survive.
6. Client Responsibilities
You agree to provide timely access, information, approvals and materials we reasonably need to perform the Services. Delays may affect timelines and results. You are responsible for:
- The accuracy and legality of your products, offers, claims, pricing, landing pages and any materials you supply or approve.
- Having all rights, licenses and consents needed for materials, trademarks, images, testimonials and data you provide.
- Fulfillment, customer service, refunds, shipping, product safety and compliance for anything you sell, including any crowdfunding rewards you promise backers.
- Your own compliance with laws applicable to your business, including consumer protection, advertising, privacy and industry-specific rules.
7. Acceptable Use and Prohibited Content
You may not use the Services or the Site to promote, or ask us to promote, anything that is unlawful, deceptive or harmful. We may decline or stop any campaign at our sole discretion. Prohibited uses include:
- False, misleading or unsubstantiated claims, fake reviews or testimonials, or deceptive pricing and scarcity claims.
- Products or services that are illegal or restricted under the policies of the relevant platforms or list owners, including counterfeit goods, weapons, illegal drugs and fraudulent schemes.
- Content that is hateful, harassing, sexually explicit, or infringes another party’s intellectual property or privacy.
- Campaigns directed at children under 13, or that otherwise violate the Children’s Online Privacy Protection Act.
- Sending or requesting commercial messages that violate the CAN-SPAM Act, the Telephone Consumer Protection Act or similar laws, including messages to recipients who have not opted in where opt-in is required.
- Attempting to disrupt, probe or gain unauthorized access to the Site or our systems.
9. Third-Party Platforms and Tools
Our Services depend on third-party platforms and tools such as Meta, Google, Reddit, email service providers, analytics and CRM software. These providers set their own terms, policies and technical changes, and may reject ads, restrict accounts, or change algorithms and pricing without notice. We are not responsible for platform decisions, outages, policy changes or account restrictions, though we will help you respond where reasonably possible.
10. No Guarantee of Results
Marketing performance depends on many factors outside our control. Any examples, projections, benchmarks or estimates we share are for planning purposes only. We do not guarantee specific results, including revenue, return on ad spend, leads, rankings, backers, open rates or deliverability.
11. Intellectual Property
Your materials. You retain ownership of the materials, trademarks and data you provide (“Client Materials”). You grant us a non-exclusive license to use Client Materials solely to perform the Services.
Deliverables. On full payment, you receive ownership of the final creative and copy we create specifically for you (the “Deliverables”), excluding third-party materials, stock assets, fonts, software and our pre-existing tools, templates, processes and know-how (“Veydris Materials”), which we retain. You receive a non-exclusive license to use any Veydris Materials embedded in the Deliverables as part of them.
Site content. The Site, including its text, design, logo and graphics, is owned by Veydris or its licensors and protected by intellectual property laws. You may not copy or reuse it without permission.
Portfolio. Unless you tell us otherwise in writing, we will not name you publicly as a client or display your work. Any case study or reference will be shared only with your prior written approval.
12. Confidentiality
Each party may receive non-public business information from the other. The receiving party will use it only to perform or receive the Services, protect it with reasonable care, and not disclose it except to personnel and advisers who need to know and are bound by similar duties, or as required by law. This does not apply to information that is public through no fault of the recipient, already known to it, independently developed, or lawfully received from a third party.
13. Data and Privacy
Our collection and use of personal information through the Site is described in our Privacy Policy. When we process personal information on your behalf as part of the Services, for example customer lists in your email platform, we do so only to provide the Services and under your instructions. You are responsible for having a lawful basis and any required notices and consents for the data you give us. On request, the parties will enter into a data processing addendum where required by applicable law.
14. Disclaimer of Warranties
THE SITE AND THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, VEYDRIS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. We do not warrant that the Site will be uninterrupted or error-free, or that the Services will achieve any particular result.
15. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, VEYDRIS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS, THE SITE OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE FEES YOU PAID TO VEYDRIS FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud or willful misconduct.
16. Indemnification
You will defend, indemnify and hold harmless Veydris and its owners, officers, employees and contractors from claims, damages, liabilities, costs and expenses (including reasonable attorneys’ fees) arising from: (a) Client Materials, your products or services, or claims made in advertising or messages you approve; (b) your breach of these Terms or applicable law; or (c) your relationship with your customers, backers or subscribers. We will promptly notify you of any claim and reasonably cooperate at your expense.
17. Governing Law and Disputes
These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-laws principles. The parties will first try in good faith to resolve any dispute informally by written notice to the other party. If a dispute is not resolved within thirty (30) days, it will be brought exclusively in the state or federal courts located in Jefferson County or the City and County of Denver, Colorado, and each party consents to personal jurisdiction and venue there. To the extent permitted by law, each party waives the right to a jury trial and to participate in class actions against the other.
18. General
- Entire agreement. These Terms and any Engagement are the entire agreement between us on their subject matter and supersede prior discussions.
- Independent contractors. The parties are independent contractors. Nothing creates a partnership, employment or agency relationship.
- Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition or sale of assets.
- Severability and waiver. If a provision is unenforceable, the rest remains in effect. A failure to enforce a provision is not a waiver.
- Force majeure. Neither party is liable for delays caused by events beyond its reasonable control, including platform outages, power or internet failures, natural disasters or government action.
- Notices. Legal notices to us should be sent to info@veydrisholdings.com and to our address above. We may send notices to the email address you provide.
19. Changes to These Terms
We may update these Terms from time to time. The updated version will be posted on this page with a new effective date. Changes do not apply retroactively to an Engagement already in progress without your agreement, but your continued use of the Site after a change means you accept it.
